Tracelake Terms and Conditions

Effective date: January 23rd 2025

These Tracelake Terms of Service (“Agreement”) are entered into by and between Tracelake Labs OÜ (“Tracelake”) and the entity or person accessing the Tracelake Services (“Customer” or “you”). This Agreement consists of the terms and conditions set forth below.

1. Tracelake Services Overview

The “Tracelake Services” is a data validation platform designed to ensure your data replication processes are accurate and reliable. Tracelake Services are now available through both free and paid subscription plans.


2. Paid Plans and Billing

a. Fees: Access to certain features or higher usage tiers of Tracelake Services requires a paid subscription. The applicable fees are detailed on our pricing page and are charged in accordance with the subscription plan you select.

b. Billing:

  • Fees are billed in advance on a monthly or annual basis, depending on your chosen plan.
  • Payments are processed using the payment method you provide during switch to a paid plan.

c. Refunds: Except as required by law, or in cases described in the Agreement, all fees are non-refundable.

d. Taxes: Fees do not include taxes, levies, duties or similar governmental assessments of any nature. Customer is responsible for paying all Taxes associated with its purchases. If Tracelake has the legal obligation to pay or collect Taxes for which Customer is responsible, Tracelake will increase the invoicing ammount to account for such Taxes. Where applicable, Customer will provide its VAT/GST Registration Number(s) on the Service Order to confirm the business use of the ordered services.

e. Renewals: Subscriptions automatically renew unless canceled before the end of the current billing period.


3. Account Eligibility

By accepting this Agreement, you represent and warrant that:

a. If you are an individual, you are at least 18 years of age.

b. If you are accessing the Services on behalf of a company or organization:

  • You have the authority to bind that entity to this Agreement
  • You have been authorized by that entity to access and use the Services
  • The entity agrees to be bound by this Agreement

c. You have not previously been suspended or removed from using the Services.

d. Your registration and use of the Services is in compliance with all applicable laws and regulations.

e. You are not located in a territory where Estonian or EU businesses are prohibited from engaging in business transactions.

f. You agree to provide accurate and current information during account registration and are responsible for maintaining the confidentiality of your account credentials.


4. Use of Services

a. Account Requirements:

  • You must create and maintain an account to use the Services
  • Each account must be associated with a valid email address
  • You are responsible for all activities under your account
  • You must maintain the security of your account credentials
  • You must notify us immediately of any unauthorized access

b. Infrastructure Requirements:

  • You must provide and maintain the infrastructure required to run the Services as specified in our documentation
  • You are responsible for ensuring your infrastructure meets our minimum requirements
  • The Services must be able to communicate with Tracelake servers for usage tracking and license validation
  • Blocking communication with Tracelake servers is prohibited unless covered by a special agreement
  • You are responsible for any costs associated with providing and maintaining the infrastructure

c. Compliance and Restrictions:

You agree to comply with all applicable laws and not misuse the Tracelake Services. Prohibited conduct includes, but is not limited to:

  • Using the Services for illegal purposes
  • Violating intellectual property rights
  • Uploading malicious content or code
  • Attempting to bypass any service limitations or restrictions
  • Reverse engineering the Services
  • Interfering with the proper functioning of our validation systems
  • Sharing your account credentials with unauthorized users
  • Using the Services to harm Tracelake or our other customers

d. Beta Features and Testing:

  • We may offer early access to new features (“Beta Features”)
  • Beta Features are provided “as is” without warranty
  • We may modify or discontinue Beta Features at any time
  • Beta Features may be subject to additional terms
  • We are not liable for any damages arising from use of Beta Features
  • Your feedback on Beta Features may be used to improve our Services

e. Service Modifications:

  • We may modify, suspend, or discontinue any part of the Services
  • We will provide reasonable notice of material changes
  • If you have paid access to Tracelake service, and the changes adversely impact your use of the service, you may terminate this Agreement and Tracelake shall provide you with a refund of any prepaid fees applicable to Tracelake Services not yet received.

5. Data and Privacy

a. Data Ownership: You retain ownership of any data you process through Tracelake Services.

b. Data Processing:

  • We process your data solely to provide the Services
  • We maintain appropriate technical and organizational measures to protect your data
  • We do not access your source systems directly unless explicitly authorized

c. Privacy: Use of the service is subject to Tracelake’s Privacy Policy.


6. Service Level Agreement

a. Support:

  • Business and Enterprise plans include priority support for software-related issues
  • Response times vary by severity and plan type
  • Technical support is provided in English
  • Support covers software functionality, not infrastructure or hosting environment issues

b. Maintenance:

  • We regularly release updates and security patches
  • You are responsible for applying updates to your self-hosted installation
  • We recommend maintaining current versions for optimal performance and security

c. Customer Responsibilities:

  • You are responsible for hosting infrastructure and its availability
  • You should implement appropriate backup and recovery procedures
  • You must maintain adequate system resources for the service to function properly

7. Termination

a. Right to Terminate:

  • Either party may terminate this Agreement if the other party materially breaches it and fails to cure within 30 days of notice
  • You may terminate your account by contacting us at [email protected]

b. Effects of Termination:

  • If we terminate due to your breach, prepaid fees are non-refundable
  • If you terminate due to our breach, you’ll receive a pro-rata refund for unused service period
  • You must pay any outstanding fees incurred before termination

c. After Termination:

  • Your access to the Services will end immediately
  • After Agreement termination or expiration, Tracelake has no obligation to maintain any information you have submitted or uploaded through the Services, unless storage of the data is required by law.

8. Limitation of Liability

To the extent permitted by law, Tracelake is not liable for any indirect, incidental, or consequential damages arising from your use of the Services. Our total liability shall not exceed the amounts paid by you for the Services in the 12 months preceding the claim.


9. Governing Law

This Agreement is governed by the laws of Estonia, and disputes shall be resolved in its courts.


10. Intellectual Property Rights

a. The Services, including all software, algorithms, and documentation, are owned by Tracelake and protected by intellectual property laws.

b. You may not:

  • Copy, modify, or create derivative works of the Services
  • Remove any proprietary notices from the Services
  • Use Tracelake’s trademarks without written permission

c. Your feedback and suggestions about the Services may be used by Tracelake without restriction or compensation.


11. Confidentiality

Each party agrees to protect the other’s confidential information with the same degree of care it uses for its own confidential information, but not less than reasonable care. Confidential information includes technical data, business plans, and any other information marked as confidential.


12. Force Majeure

Neither party will be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of war, acts of terror, riot, natural disaster, or government action.


13. Modification of Agreement

Tracelake may update the terms and conditions of this Agreement (including changes to pricing and plans) from time to time with prior notice to Customer. The updated version of this Agreement will be posted at https://tracelake.com/terms. Following such notice, your continued use of the Services after the effective date indicated at the top of this Agreement constitutes your acceptance of the updated version.

If you do not agree to the updated version of this Agreement, you must stop using the Services, and if you are using a paid version, you may elect to receive a pro-rata refund of any prepaid fees for Services not yet received.

The updated version of this Agreement supersedes all prior versions. No waiver will be implied from conduct or failure to enforce or exercise rights under this Agreement. Waivers must be made in writing and executed by an authorized representative of the waiving party.
